1. Who we are and scope
These Terms of Use govern your access to and use of the websites at cellindex.bio and cellindexgroup.org (the "Sites"), operated by Cellindex, a company in the process of incorporation under the laws of England and Wales ("we", "us", "our"). These Sites are marketing and informational websites only. They do not provide access to any software product. The Cellindex ELN application at cellindex.app is governed by its own separate terms of service. By accessing or using the Sites you agree to be bound by these Terms. If you do not agree, you must not use the Sites.
2. Permitted use
You may use the Sites for lawful purposes only and in a manner that does not infringe the rights of others or restrict or inhibit their use of the Sites. You must not: (a) use the Sites in any way that violates applicable local, national, or international law or regulation; (b) transmit any unsolicited or unauthorised advertising or promotional material; (c) attempt to gain unauthorised access to any part of the Sites or any server, computer, or database connected to the Sites; (d) attack the Sites via a denial-of-service attack or a distributed denial-of-service attack; or (e) misrepresent your identity or affiliation with any person or organisation.
3. Intellectual property
All content on the Sites, including but not limited to text, graphics, logos, icons, and the selection and arrangement thereof, is the property of Cellindex or its licensors and is protected by copyright, trade mark, and other intellectual property laws. You may view, print, and download content from the Sites for your own personal, non-commercial use, provided you do not remove any copyright or proprietary notices. No other use is permitted without our prior written consent. Nothing in these Terms grants you any licence to use our trade marks or trade names.
4. Disclaimer of warranties
The Sites and all content and materials contained therein are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Sites will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any content on the Sites.
5. Limitation of liability
To the fullest extent permitted by law, Cellindex and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of, or inability to access or use, the Sites; (b) any content on the Sites; or (c) any unauthorised access to or use of our servers. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
6. Links to third-party sites
The Sites may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. The inclusion of any link does not imply endorsement by Cellindex.
7. Privacy
Your use of the Sites is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Changes to the Sites and these Terms
We reserve the right to modify or discontinue the Sites at any time without notice. We may also revise these Terms from time to time. The revised Terms will be effective from the date shown at the top of this page. Your continued use of the Sites after changes are posted constitutes your acceptance of the revised Terms.
9. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, except that we may bring enforcement proceedings in any jurisdiction where you are resident or located.
